BRAC Bank Mandated to Raise BDT 1,500 Crore for City Sugar Industries through Mortgage-Backed Zero Coupon Bond

BRAC Bank has been entrusted by City Sugar Industries Limited, a flagship concern of City Group and an AAA-rated corporate entity, to facilitate fund mobilization through the issuance of the Teer 100% Mortgage-Backed Zero Coupon Bond worth BDT 1,500 crore (Face Value).
The bond issuance is subject to approval from the Bangladesh Securities and Exchange Commission.
This pioneering three-year bond, fully secured and structured to offer an attractive return, is designed to cater to a diverse investor base, including individuals and corporate entities across Bangladesh. By introducing this medium-term financial instrument, the initiative aligns with the evolving risk appetites of institutional and retail investors while contributing to the deepening of the country’s capital market.
The funds raised through this bond will support City Sugar Industries Limited in expanding its trade operations, enhancing cash flow management, and diversifying its financing avenues, thereby reducing dependence on traditional bank credit facilities. Furthermore, it presents a compelling investment opportunity for Bangladesh’s growing investor base, which continues to seek secure, and innovative financial instruments.
Once approved by the regulatory authority, this landmark transaction will reinforce BRAC Bank’s commitment to market innovation and play a vital role in developing Bangladesh’s corporate bond market, fostering alternative investment opportunities, and enriching financial products.
Tareq Refat Ullah Khan, Deputy Managing Director & Head of Corporate and Institutional Banking at BRAC Bank, and Mohammad Tanvir Hydar Pavel, Director (Finance & Commercial) of City Sugar Industries Limited, signed the agreement on behalf of their respective institutions at the Term Sheet Signing Ceremony at the bank’s head office on February 17, 2025, in the presence of Selim R. F. Hussain, Managing Director & CEO of BRAC Bank, and Md. Hasan, Managing Director of City Group.
From BRAC Bank, Sheikh Mohammad Ashfaque, Deputy Managing Director & Head of Branch Distribution Network; Md. Mahiul Islam, Deputy Managing Director & Head of Retail Banking; and Tanveer Kamal, Head of Structured Finance Unit, were present. From City Group, Reza Uddin Ahmad, Director (Finance & Investments), and Khizir Hayat Khan, Director (Import), also attended.
With this fund mobilization through bond issuance, BRAC Bank continues to spearhead innovative financial solutions that contribute to Bangladesh’s economic growth, industrialization, and employment generation while strengthening its structured finance business vertical in the banking industry.

সিটি গ্রুপের অন্যতম প্রতিষ্ঠান এবং ট্রিপল-এ রেটিং পাওয়া সিটি সুগার ইন্ডাস্ট্রিজ লিমিটেডের তহবিল সংগ্রহের জন্য ১,৫০০ কোটি টাকা ফেস ভ্যালুর তীর ১০০% মর্টগেজ-ব্যাকড জিরো কুপন বন্ড ইস্যু করতে ব্র্যাক ব্যাংককে দায়িত্ব দেওয়া হয়েছে।
বাংলাদেশ সিকিউরিটিজ অ্যান্ড এক্সচেঞ্জ কমিশনের অনুমোদনের সাপেক্ষে এই বন্ড ইস্যু করা হবে।
এই তিন বছর মেয়াদি বন্ড সম্পূর্ণ নিরাপদ এবং আকর্ষণীয় রিটার্ন প্রদানের জন্য স্ট্রাকচার্ড, যা প্রথমবারের মত ইস্যু করা হচ্ছে। এই বন্ড বাংলাদেশজুড়ে ব্যক্তি ও কর্পোরেট প্রতিষ্ঠানসহ বিভিন্ন পর্যায়ের বিনিয়োগকারীদের জন্য উপযোগী করে ডিজাইন করা হয়েছে। এই মধ্য-মেয়াদি বন্ড প্রাতিষ্ঠানিক ও রিটেইল বিনিয়োগকারীদের পরিবর্তনশীল ঝুঁকি গ্রহণের মানসিকতার সঙ্গে সামঞ্জস্য রেখে দেশের মূলধন বাজারের বিকাশে গুরুত্বপূর্ণ ভূমিকা রাখবে।
এই বন্ডের মাধ্যমে সংগৃহীত তহবিল সিটি সুগার ইন্ডাস্ট্রিজ লিমিটেড তাদের বাণিজ্য কার্যক্রম সম্প্রসারণ, নগদ প্রবাহ ব্যবস্থাপনা উন্নতকরণ এবং অর্থায়নের পথ বহুমুখী করতে ব্যবহার করবে, যা ব্যাংক ঋণের ওপর নির্ভরতা কমাতে সহায়ক হবে। পাশাপাশি, এটি একটি নিরাপদ ও উদ্ভাবনী বিনিয়োগের সুযোগ খোঁজা বাংলাদেশের ক্রমবর্ধমান বিনিয়োগকারী গোষ্ঠীর জন্য একটি আকর্ষণীয় সুযোগ নিয়ে আসবে।
নিয়ন্ত্রক সংস্থার অনুমোদন পেলে এই গুরুত্বপূর্ণ বন্ডটি বাজার উদ্ভাবনের প্রতি ব্র্যাক ব্যাংকের প্রতিশ্রুতি আরও দৃঢ় করবে এবং বাংলাদেশের কর্পোরেট বন্ড বাজারের উন্নয়ন, বিকল্প বিনিয়োগ সুযোগ প্রসার ও আর্থিক পণ্য সমৃদ্ধকরণে গুরুত্বপূর্ণ ভূমিকা পালন করবে।
১৭ ফেব্রুয়ারি ২০২৫, ব্র্যাক ব্যাংকের প্রধান কার্যালয়ে অনুষ্ঠিত চুক্তি স্বাক্ষর অনুষ্ঠানে ব্র্যাক ব্যাংকের ডেপুটি ম্যানজিং ডিরেক্টর অ্যান্ড হেড অব কর্পোরেট অ্যান্ড ইনস্টিটিউশনাল ব্যাংকিং তারেক রেফাত উল্লাহ খান এবং সিটি সুগার ইন্ডাস্ট্রিজ লিমিটেডের পরিচালক (ফাইন্যান্স অ্যান্ড কমার্শিয়াল) মোহাম্মদ তানভীর হায়দার পাভেল নিজ নিজ প্রতিষ্ঠানের পক্ষে চুক্তি স্বাক্ষর করেন। অনুষ্ঠানে উপস্থিত ছিলেন ব্র্যাক ব্যাংকের ম্যানজিং ডিরেক্টর অ্যান্ড সিইও সেলিম আর. এফ. হোসেন এবং সিটি গ্রুপের ম্যানজিং ডিরেক্টর মো. হাসান।
ব্র্যাক ব্যাংকের পক্ষ থেকে আরও উপস্থিত ছিলেন ডেপুটি ম্যানজিং ডিরেক্টর অ্যান্ড হেড অব ব্রাঞ্চ ডিস্ট্রিবিউশন নেটওয়ার্ক শেখ মোহাম্মদ আশফাক, ডেপুটি ম্যানজিং ডিরেক্টর অ্যান্ড হেড অব রিটেইল ব্যাংকিং মো. মাহীয়ুল ইসলাম এবং হেড অব স্ট্রাকচার্ড ফাইন্যান্স ইউনিট তানভীর কামাল। অন্যদিকে সিটি গ্রুপের ডিরেক্টর (ফাইন্যান্স অ্যান্ড ইনভেস্টমেন্টস) রেজা উদ্দিন আহমেদ এবং ডিরেক্টর (ইমপোর্ট) খিজির হায়াত খান অনুষ্ঠানে অংশ নেন।
এই বন্ড ইস্যুর মাধ্যমে তহবিল সংগ্রহের মাধ্যমে ব্র্যাক ব্যাংক বাংলাদেশের অর্থনৈতিক প্রবৃদ্ধি, শিল্পায়ন ও কর্মসংস্থান বৃদ্ধিতে গুরুত্বপূর্ণ অবদান রাখবে এবং ব্যাংকিং খাতে তাদের স্ট্রাকচার্ড ফাইন্যান্স বিজনেস আরও শক্তিশালী করবে।
